    These Terms & Conditions ("Terms") govern your access to and use of the website www.bitlegacy.org (the "Website") and any services, consultations, or deliverables provided by BitLegacy Solutions LLP("BitLegacy", "we", "us", or "our"), a Limited Liability Partnership registered in India. By accessing the Website or engaging our services, you ("you", "the client", or "the user") agree to be bound by these Terms. If you do not agree, please do not use the Website or our services.

    1. Definitions

    • "Services" means IT consultancy, web and mobile application development, cloud migration, data and analytics, cybersecurity, and any other technology services we provide.
    • "Deliverables" means any code, designs, documentation, reports, or other materials we create for you under an engagement.
    • "Engagement" means a specific project, proposal, statement of work, or order accepted by both parties.

    2. Eligibility & Acceptance

    You must be at least 18 years of age and legally capable of entering into a binding contract to use our Services. Where you accept these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation.

    3. Services & Engagements

    The scope, timeline, fees, and deliverables of any project will be set out in a separate proposal, quotation, or statement of work agreed between you and BitLegacy. In the event of a conflict between these Terms and a signed statement of work, the statement of work shall prevail for that engagement. Information presented on the Website (including service descriptions, portfolio items, and statistics) is for general informational purposes and does not constitute a binding offer.

    4. Client Responsibilities

    To enable us to deliver the Services, you agree to:

    • provide accurate, complete, and timely information, content, access, and approvals;
    • designate a point of contact authorised to make decisions for the project;
    • ensure you hold all rights and licences for materials you provide to us; and
    • review deliverables and provide feedback within agreed timelines.

    Delays caused by incomplete information, late feedback, or unavailability of your team may affect project timelines and costs.

    5. Fees & Payment

    Fees, payment schedules, and milestones are defined in the applicable proposal or statement of work. Unless stated otherwise, invoices are payable within the period specified on the invoice. All fees are exclusive of applicable taxes (including GST), which will be charged additionally where required. We reserve the right to suspend Services or withhold deliverables where undisputed invoices remain unpaid.

    6. Intellectual Property

    Upon full payment of all applicable fees, ownership of the final, custom Deliverables created specifically for you will transfer to you, except for: (a) pre-existing materials, tools, libraries, and frameworks owned by BitLegacy or third parties; and (b) any open-source components, which remain subject to their respective licences. We retain the right to use general knowledge, skills, and experience gained during an engagement, and to display non-confidential project work in our portfolio unless otherwise agreed in writing.

    All content on the Website itself — including text, graphics, logos, the BitLegacy name, and software — is the property of BitLegacy Solutions LLP and is protected by applicable intellectual property laws. You may not copy, reproduce, or redistribute it without our prior written consent.

    7. Third-Party Services & Products

    Our Services may integrate with or rely on third-party platforms (such as cloud providers, payment gateways, and analytics tools). We also offer our own software products, including BitLegacy Hotels, which are governed by their own separate terms. We are not responsible for the availability, performance, or policies of third-party services.

    8. Confidentiality

    Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an engagement, and to use it only for the purpose of delivering or receiving the Services. This obligation survives termination of the engagement.

    9. Warranties & Disclaimers

    We will perform the Services with reasonable skill and care and in a professional manner. Except as expressly stated, the Website and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components.

    10. Limitation of Liability

    To the maximum extent permitted by law, BitLegacy Solutions LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Website or Services. Our total aggregate liability for any claim arising under an engagement shall not exceed the total fees paid by you to us for that specific engagement in the three (3) months preceding the event giving rise to the claim.

    11. Indemnification

    You agree to indemnify and hold harmless BitLegacy, its partners, employees, and contractors from any claims, damages, or expenses arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party rights.

    12. Termination

    Either party may terminate an engagement in accordance with the terms of the applicable statement of work. Upon termination, you agree to pay for all Services performed and expenses incurred up to the effective date of termination. We may suspend or terminate your access to the Website at any time for conduct that violates these Terms.

    13. Governing Law & Jurisdiction

    These Terms are governed by and construed in accordance with the laws of India. Subject to any dispute-resolution provisions in a signed statement of work, the courts of India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

    14. Changes to These Terms

    We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Website or Services after changes take effect constitutes acceptance of the revised Terms.
